Please read these Terms and Conditions carefully before using the Veridex website or engaging our services. By accessing this website or entering into an engagement agreement with Veridex, you confirm that you have read, understood, and agreed to be bound by these terms. If you do not agree, please discontinue use of the website.
1. Definitions
In these Terms and Conditions, the following terms carry the meanings set out below:
- "Agreement"
- These Terms and Conditions, together with any engagement letter or service proposal accepted in writing.
- "Veridex"
- Veridex, a business consulting firm operating from Level 18, Menara Maxis, Jalan Ampang, 50088 Kuala Lumpur, Malaysia.
- "Client" / "You"
- The individual or organisation using this website or engaging Veridex for consulting services.
- "Services"
- The consulting engagements described on this website, including Strategic Diagnostics, Operational Review, and the Board and Leadership Advisory Programme.
- "Deliverables"
- Written reports, assessments, proposals, and workshop materials produced in connection with an engagement.
- "Website"
- The Veridex website accessible at taralega.club.
2. Acceptance of Terms
By using the Website, you represent that you are at least 18 years of age and have the legal capacity to enter into binding agreements. If you are accessing the Website on behalf of an organisation, you represent that you have the authority to bind that organisation to these terms.
Continued use of the Website constitutes acceptance of these Terms and Conditions and any updates made to them.
3. Description of Services
Veridex provides independent business consulting services to organisations in Malaysia. Our current service offerings are:
Strategic Diagnostics Engagement
A structured four-to-six week engagement producing a written assessment and prioritised considerations. Priced at RM 1,180.
Operational Review and Realignment
A six-to-ten week review of operational structure and process flows, producing a written realignment proposal. Priced at RM 2,840.
Board and Leadership Advisory Programme
A twelve-month advisory relationship with monthly sessions for boards and senior leadership. Priced at RM 4,520.
Service availability is subject to capacity. Veridex reserves the right to decline an enquiry at its discretion. The scope, timeline, and deliverables for each engagement are defined in a written engagement letter agreed with the client prior to commencement.
4. User Responsibilities
When using the Website, you agree not to:
- Engage in any activity that could damage, disable, or impair the Website or its underlying systems.
- Submit false or misleading information through the contact form.
- Attempt to gain unauthorised access to any part of the Website or its associated systems.
- Use the Website in a manner that contravenes any applicable Malaysian law or regulation.
- Reproduce or redistribute Website content without prior written consent from Veridex.
5. Intellectual Property
All content on the Website, including text, structure, design, and methodology descriptions, is the property of Veridex and is protected under applicable Malaysian intellectual property law.
Deliverables produced during an engagement are transferred to the client upon settlement of all fees in accordance with the terms of the engagement letter. Veridex retains the right to retain anonymised methodological frameworks and structural approaches for internal development purposes.
You are granted a limited, non-exclusive, non-transferable licence to access and use the Website for the purpose of evaluating and enquiring about our services. No other rights are granted.
6. Payment Terms
Payment terms are set out in the engagement letter accompanying each service. Generally:
- Fees are quoted in Malaysian Ringgit (RM) inclusive of applicable taxes unless stated otherwise.
- A deposit may be required before commencement, as specified in the engagement letter.
- Invoices are payable within 14 days of issue unless otherwise agreed.
- Where an engagement is cancelled after commencement, fees for work completed to the point of cancellation remain payable.
7. Service Delivery Terms
The scope, timeline, and deliverables for each engagement are defined in a written engagement letter. Veridex will use reasonable professional skill and care in delivering services.
The client acknowledges that:
- Timely access to relevant documentation, stakeholders, and information is necessary for effective delivery.
- Requests to expand scope beyond the agreed engagement letter will be subject to a separate agreement and fee.
- Deliverables are advisory in nature; implementation decisions remain with the client organisation.
8. Confidentiality
Veridex treats all client information as confidential. We will not disclose client-specific information to third parties without your written consent, except where required by law or a regulatory authority.
Detailed confidentiality provisions, including mutual obligations, are addressed in the Non-Disclosure Agreement that accompanies each engagement letter.
9. Disclaimers
The Website and its content are provided for informational purposes. While we aim to keep information current and accurate, Veridex makes no representation as to the completeness or timeliness of Website content.
Consulting services are advisory in nature. Veridex does not warrant any particular business outcome arising from the adoption of our recommendations. Decisions regarding implementation remain the responsibility of the client.
Website availability is provided on an "as available" basis and may be subject to interruption for maintenance or circumstances outside our control.
10. Limitation of Liability
To the extent permitted by Malaysian law, Veridex's liability in connection with any engagement or use of the Website shall not exceed the fees paid by the client in respect of the relevant engagement.
Veridex shall not be liable for any indirect, consequential, or incidental loss, including loss of profit, business, revenue, or opportunity, arising from the use of the Website or our services.
Nothing in these terms excludes liability for fraud, death, or personal injury caused by our negligence, or any other liability that cannot be excluded under Malaysian law.
11. Termination
Either party may terminate an engagement by providing written notice, subject to the terms set out in the engagement letter. Upon termination, fees for work completed to the date of termination remain payable.
Veridex reserves the right to withdraw Website access in the event of material breach of these terms. Clauses relating to confidentiality, intellectual property, and limitation of liability shall survive termination.
12. Dispute Resolution
These Terms and Conditions are governed by the laws of Malaysia. In the event of a dispute, the parties agree to attempt resolution through good-faith discussion before pursuing formal proceedings.
If informal resolution is not achievable, disputes shall be subject to the exclusive jurisdiction of the courts of Malaysia, unless the parties agree in writing to an alternative mechanism such as mediation under the Kuala Lumpur Regional Centre for Arbitration.
13. General Provisions
- Entire Agreement — These terms, together with the engagement letter, constitute the entire agreement between the parties with respect to its subject matter.
- Severability — If any provision of these terms is found unenforceable, the remaining provisions continue in full force.
- Waiver — Failure to enforce any provision does not constitute a waiver of the right to enforce it on a subsequent occasion.
- Assignment — You may not assign rights or obligations under these terms without prior written consent from Veridex. Veridex may assign rights in connection with a business transfer.
14. Changes to These Terms
We may revise these Terms and Conditions periodically. Material changes will be noted by updating the "Last Updated" date. Your continued use of the Website following any revision constitutes acceptance of the revised terms. For ongoing engagements, changes do not alter the terms already agreed in a signed engagement letter.
